These Terms and Conditions ("Terms") are a binding agreement between you and Coppernik LLC, a Florida limited liability company doing business as Budgetnik ("Budgetnik," "we," "us," or "our"), governing your access to and use of the Budgetnik service, including our website, mobile applications, and related APIs (collectively, the "Service"). Please read these Terms carefully. By creating an account, signing in, checking an acceptance box, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
1. Acceptance, Eligibility, and Changes
You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for users in the United States unless we expressly state otherwise.
We use click-through acceptance (including checkboxes at registration and sign-in) to obtain your agreement to these Terms. You confirm that you have read, understood, and agree to these Terms and that you are acting on your own behalf.
We may update these Terms from time to time. When we make material changes, we will post the updated Terms, update the version identifier and effective date, and provide reasonable advance notice when practicable (for example, by email, in-app notice, or a prominent site notice) at least thirty (30) days before material changes take effect, unless a shorter period is required by law or the change is non-material or made for legal, security, or abuse-prevention reasons.
If you continue to access or use the Service after updated Terms become effective, that continued use constitutes your acceptance of the updated Terms. When you sign in after updated Terms take effect, you must affirmatively accept the then-current version before accessing account features. If you do not accept, you must stop using the Service and may close your account.
Nothing in these Terms waives rights that applicable federal or state law expressly prohibits you from waiving. If any provision is unlawful or unenforceable for you, it does not apply to you and the remainder of these Terms remains in effect to the fullest extent permitted by law.
2. Privacy and Electronic Communications
Our Privacy Policy describes how we collect, use, disclose, retain, and protect personal information. The Privacy Policy is part of these Terms. By using the Service, you acknowledge that you have reviewed our Privacy Policy and consent to our data practices as described there.
You consent to receive communications from us electronically, including account notices, security alerts, and service-related messages sent to the email address or phone number associated with your account. You are responsible for keeping your contact information current.
3. Nature of the Service
Budgetnik is a personal finance information and visualization tool. We are not a bank, broker-dealer, investment adviser, tax preparer, accountant, insurance provider, credit bureau, loan servicer, or other regulated financial institution.
We are not a "consumer reporting agency" under the Fair Credit Reporting Act (FCRA), and information shown in the Service is not a "consumer report." We do not make eligibility determinations for credit, insurance, employment, housing, or similar purposes, and we do not take "adverse action" under the FCRA.
The Service may help you view aggregated information about accounts you choose to link through third-party data providers. We do not hold your funds, execute transactions on your behalf, or provide custody of assets.
Charts, categories, summaries, alerts, and other outputs are provided for convenience only. You remain solely responsible for reviewing official account statements and records from your financial institutions.
4. No Financial, Investment, Tax, or Legal Advice
Nothing in the Service constitutes financial, investment, tax, legal, accounting, or other professional advice.
Information displayed by the Service is for general informational and educational purposes only. You should not rely on the Service as a substitute for professional advice tailored to your circumstances.
You are solely responsible for your financial decisions. Consult qualified professionals before making decisions involving investments, taxes, debt, insurance, estate planning, or other financial matters.
6. Data Sources, Delays, and Accuracy
Account balances, transactions, categories, merchant names, logos, and other data are obtained from third parties. We do not independently verify this information.
Data may be delayed, incomplete, duplicated, miscategorized, missing, or otherwise inaccurate. Sync timing depends on third-party availability, institution policies, network conditions, and maintenance.
Visualizations are derived from data available at the time of display. They may not reflect real-time balances or activity and may differ from your official statements.
You use displayed information at your own risk and must verify material information directly with your financial institutions before acting on it.
7. Your Account and Security Responsibilities
You are responsible for maintaining the confidentiality and security of your account credentials, including your password.
You must choose a strong, unique password that meets our published complexity requirements. Do not reuse passwords from other services.
Do not share your password, one-time codes, recovery links, or session access with anyone. Do not allow others to use your account.
You are responsible for all activity that occurs under your account, whether or not authorized by you, except to the extent caused by our gross negligence or willful misconduct where such limitation is not permitted by law.
Notify us promptly if you suspect unauthorized access to your account. We are not responsible for losses arising from your failure to safeguard credentials or devices, except where prohibited by law.
8. Acceptable Use
You agree to use the Service only for lawful personal purposes and in compliance with these Terms and applicable law.
You may not attempt to gain unauthorized access to the Service or related systems, interfere with operation of the Service, scrape or harvest data except through documented APIs, reverse engineer the Service except where prohibited by law, or use the Service to harm others.
We may suspend or terminate access if we reasonably believe you have violated these Terms or created risk for the Service or other users.
9. Third-Party Services
The Service relies on third-party providers, including Plaid and your financial institutions. We do not control and are not responsible for the acts, omissions, availability, security practices, or policies of any third party.
Linking a financial account is your choice. You are responsible for understanding what data you authorize third parties to share with the Service.
10. Intellectual Property
The Service, including its software, design, text, graphics, logos, and other content we provide (excluding your data and third-party content), is owned by Coppernik LLC or its licensors and is protected by intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.
You may not copy, modify, distribute, sell, lease, or create derivative works from the Service or our content except as expressly permitted by law or with our prior written consent.
11. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL CONTENT, DATA, AND MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
WITHOUT LIMITING THE FOREGOING, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
WE DO NOT WARRANT THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT DATA WILL BE PRESERVED WITHOUT LOSS.
SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL COPPERNIK LLC, ITS OWNERS, OPERATORS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS (COLLECTIVELY, THE "BUDGETNIK PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE BUDGETNIK PARTIES FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO BUDGETNIK FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM. IF YOU PAID NOTHING DURING THAT PERIOD, OUR AGGREGATE LIABILITY IS ZERO.
THE FOREGOING CAP DOES NOT APPLY TO THE EXTENT LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD BY A BUDGETNIK PARTY WHERE SUCH LIMITATION IS PROHIBITED.
THE LIMITATIONS IN THIS SECTION APPLY TO ALL CAUSES OF ACTION IN THE AGGREGATE, INCLUDING WITHOUT LIMITATION LOSS RESULTING FROM UNAUTHORIZED ACCESS, DATA BREACHES, INACCURATE BALANCES OR TRANSACTIONS, MISSED PAYMENTS, OVERDRAFTS, LATE FEES, INVESTMENT LOSSES, TAX PENALTIES, IDENTITY THEFT, OR RELIANCE ON VISUALIZATIONS OR ALERTS.
YOU ACKNOWLEDGE THAT THESE LIMITATIONS REFLECT A REASONABLE ALLOCATION OF RISK AND THAT BUDGETNIK WOULD NOT PROVIDE THE SERVICE WITHOUT THEM.
SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
13. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Budgetnik Parties from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your linked accounts, your violation of these Terms, your violation of applicable law, or your infringement of any third-party rights.
We may assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense. This indemnity does not require you to indemnify us for our own gross negligence, willful misconduct, or fraud where such indemnity is prohibited by law.
14. Dispute Resolution, Arbitration, and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
Informal resolution first. Before starting arbitration or court proceedings (other than small claims or emergency injunctive relief), you agree to contact us at privacy@coppernik.ai and attempt in good faith to resolve the dispute informally for at least thirty (30) days.
Binding individual arbitration. Except where prohibited by law or as set out below, you and Budgetnik agree that disputes arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by this Section. The arbitrator may award the same damages and relief that a court could award on an individual basis.
Small claims and injunctive relief. Either party may bring an individual action in small claims court if the claim qualifies. Either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect intellectual property, confidential information, or unauthorized access, pending completion of arbitration.
CLASS ACTION WAIVER. YOU AND BUDGETNIK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
Arbitration opt-out. You may opt out of this arbitration agreement within thirty (30) days after first accepting these Terms by emailing privacy@coppernik.ai with the subject line "Arbitration Opt-Out" and including your name, email address, and a clear statement that you opt out of arbitration. If you opt out, the arbitration and class waiver provisions do not apply to you, but the rest of these Terms still apply.
If arbitration is unenforceable for a particular claim, or you validly opt out, disputes will be brought in the state or federal courts located in Florida, and you consent to personal jurisdiction there, unless applicable law requires a different venue.
Any claim must be brought in an individual capacity within the time period required by applicable law, or one (1) year after the claim arose, whichever is longer, except where a shorter period is prohibited by law.
15. Non-Waivable Rights
Certain federal and state laws provide consumer protections that cannot be waived by contract. For example, rights under the Servicemembers Civil Relief Act, Military Lending Act, Electronic Fund Transfer Act, and other laws may apply to some users or transactions and are not limited by these Terms.
We do not intend these Terms to waive, limit, or misrepresent any right that applicable law makes non-waivable. If a court or regulator determines that any provision is deceptive or unenforceable, that provision will not be enforced against you.
16. Termination and Service Changes
You may stop using the Service at any time. We may modify, suspend, or discontinue any part of the Service as permitted by law, including features or availability, with notice when practicable for material changes.
We may suspend or terminate your access at any time, with or without notice, for violation of these Terms, legal requirements, security risk, or abuse, as permitted by law.
Upon termination, your right to use the Service ends immediately. Provisions that by their nature should survive termination will survive, including disclaimers, limitations of liability, indemnification, and dispute resolution.
17. General Provisions
These Terms, together with the Privacy Policy and any additional policies we reference, constitute the entire agreement between you and Budgetnik regarding the Service.
If any provision is held invalid or unenforceable, the remaining provisions remain in effect, except that if the class action waiver or arbitration agreement is found unenforceable as to a particular claim, that claim may proceed in court only on an individual basis unless applicable law provides otherwise.
Our failure to enforce any provision is not a waiver of that provision.
You may not assign your rights under these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
These Terms are governed by the laws of the State of Florida and applicable federal law of the United States, without regard to conflict-of-law rules.
We are not liable for delay or failure to perform due to events beyond our reasonable control, including internet outages, third-party service failures, natural disasters, labor disputes, or government actions.
